Jill M. Allegretti, Managing Partner

Jill Allegretti is a highly experienced attorney with over 20 years of representing individuals and entities in the real estate sector. Ms. Allegretti’s practice areas include:

Commercial Asset Acquisitions, Sales and Mergers: Ms. Allegretti represents private equity funds and other institutional clients in connection with the purchase, sale and financing of commercial real estate, including hotels, resorts, office buildings, assisted living facilities, shopping malls, retail, mixed-use, storage facilities, warehouses and residential buildings. Her practice includes drafting and negotiating purchase and sale agreements, joint venture agreements, property management agreements, franchise agreements, brokerage agreements, and confidentiality and non-disclosure agreements.

Real Estate Financing: Ms. Allegretti represents borrowers and lenders in connection with single and multi-asset mortgage and mezzanine financings, securitizations, construction financings, revolving credit facilities and convertible loans as well as restructurings, work-outs and deed-in-lieu of foreclosure transactions.

Residential Real Estate Transactions: Ms. Allegretti represents high net worth individuals in connection with the purchase and sale of luxury townhouses, single family homes, investment properties, co-op units and condominium units. Having represented a broad range of high-profile clients, from financial executives to celebrities, she understands the unique issues and concerns facing such individuals, including the importance of maintaining confidentiality.

Design and Construction: Ms. Allegretti represents contractors, architects, interior designers, owner’s representatives, museums and property owners in connection with drafting and negotiating a broad range of construction related agreements. She also regularly negotiates license and access agreements between project owners and owners of properties adjacent to construction projects.

Leasing: Ms. Allegretti represents landlords and tenants in connection with drafting and negotiating residential and commercial leases.

Prior to founding the firm, Ms. Allegretti was an attorney in the real estate group at Simpson Thacher & Bartlett LLP from 2000-2012 and most recently at Morici & Morici LLP.

When not practicing law, Jill enjoys yoga, gardening, traveling the world and spending as much time as possible with her three children and their goats, chickens and English Bulldog.

Brooke S. Spanierman, Counsel

Brooke S. Spanierman is a seasoned attorney specializing in multiple areas of transactional real estate law.

Commercial Real Estate Transactions: Ms. Spanierman has significant experience in the acquisition, disposition, financing and development of real estate properties including office buildings, hotels, multi-family residential complexes, mixed-use projects, commercial condominiums and cooperative corporations. She has represented and advised financial institutions, corporate developers and investors, governmental agencies, lenders, borrowers, brokers and contractors in a variety of complex regional and national real estate transactions. Ms. Spanierman is proficient in drafting and negotiating purchase and sale agreements, entity governing documents, joint venture agreements, tenancy-in common agreements, management agreements and commercial loan documentation.

Leasing Transactions: Ms. Spanierman has a broad spectrum of experience in the review, drafting and negotiating of commercial and residential leases and license agreements. She has counseled both owners and tenants in a myriad of lease transactions involving office, retail, shopping centers, restaurants and food halls. Her experience encompasses infrastructure leasing, ground leasing, net leasing, subleasing, lease assignments, lease amendments, modifications, extensions, renewals and terminations.

Residential Real Estate Transactions: Ms. Spanierman has engaged in a multitude of sophisticated residential real estate transactions representing high net worth individuals, corporate entities and trusts and estates. Her practice includes conducting due diligence, contract review and negotiation, title and survey analysis, loan counsel, as well as negotiating brokerage and design agreements for both sellers and purchasers of single-family dwellings, cooperative apartments and condominium units.

Prior to joining the firm, Ms. Spanierman served as Real Estate Counsel at Levy Holm Pellegrino and Drath LLP, a boutique New York City law firm.

Ms. Spanierman resides in New York City and enjoys dining out, travel, barre classes, interior design and the opera. She spends much of her free time with her son, daughter and two cocker spaniels.

Lou D’Amaro, Counsel

Louis D’Amaro is an accomplished attorney with over three decades of commercial real estate experience focused primarily on the following areas of practice:

Commercial Real Estate Sales and Acquisitions: Lou routinely represents clients on all aspects of commercial real estate transactions including the sale and purchase of office buildings, warehouse facilities, retail buildings and multi-family properties. He is an experienced negotiator and often conducts complex commercial real estate closings. As a former zoning board chairman, Lou often advises clients on zoning and land use issues. 

Commercial Leasing: Lou also has extensive experience drafting and negotiating complex commercial leases and license agreements representing both landlords and tenants of office, warehouse and retail space located throughout the United States and Canada with a focus on New York City, Long Island and New Jersey.

Lending: Lou has represented numerous institutional and other lenders in connection with the financing of commercial and residential real estate acquisitions. 

Government and Public Policy: Lou is skilled in government procedures and practices as a former elected official and dedicated public servant. He served for twelve years as a member of the Suffolk County Legislature for which he received numerous honors and awards in recognition of his public service. He is also a former Town of Babylon assistant town attorney, a former member of the Suffolk County Judicial Facilities Agency and a former advisor to the Suffolk County Executive’s Labor Advisory Board. Lou has also served in Washington, D.C. as a congressional aide and locally as a staff member to the New York State Assembly and the Suffolk County Legislature. 

Prior to joining the firm, Lou was a senior attorney with the Real Estate, Zoning and Land Use practice group at Rivkin Radler LLP.

When not practicing law, Lou enjoys the gym, jogging, traveling, aviation, playing guitar and spending time with his two children.

Jennifer Lico, Senior Counsel

Jennifer Lico is a senior counsel attorney with extensive experience in many aspects of commercial and residential real estate acquisitions, sales and leasing throughout the five Boroughs of New York City and Nassau, Suffolk and Westchester Counties.

Residential Real Estate Transactions: Ms. Lico represents corporate and individual clients in a broad range of high end residential and commercial real estate transactions including drafting and negotiating purchase and sale agreements, due diligence and title review, financing, including modifications, CEMA and Spreader Agreements, for multi-family buildings, condominiums, cooperative apartments, commercial units and single family homes. Ms. Lico is also proficient in 1031 tax deferred exchanges and handles all aspects of title insurance and survey examination, clearance and real property transfer tax matters as well as compliance with FinCen requirements. She also represents both Landlords and Tenants with residential and commercial leasing and financing.

Construction Related Agreements: Ms. Lico also drafts and negotiates a broad range of construction related agreements, including contractor agreements, consulting agreements, service agreements and license and access agreements in connection with both new construction and renovation projects for high net worth individuals and commercial clients.

Financial and Legal Consultant: After taking time away from her legal career to raise her children, Ms. Lico entered the business arena as both a financial and legal consultant in the restaurant industry and medical field and brings this business experience to the firm as she provides legal guidance to business owners with regard to their business and corporate needs, including drafting and negotiating corporate organizational, transactional and financial documents while assisting in the formation and implementation of day to day operations and procedures. Her practice also includes acquisition and dispositions of businesses, reorganizations and joint ventures.

Prior to joining Allegretti & Associates LLC, Ms. Lico was part of the real estate and corporate divisions of Morici & Morici, LLP in her capacity as Of Counsel.

Carter Martin, Associate

Carter Martin is an associate attorney at Allegretti & Associates LLC whose practice focuses on transactional residential real estate. Ms. Martin has experience representing buyers and sellers of residential condos, co-ops, townhouses and single-family homes in New York City and the surrounding area. She also has experience with commercial leasing, deed transfers and 1031 exchanges.

Residential Real Estate: Ms. Martin has experience guiding clients through every stage of the purchase and sale process. This includes drafting and negotiating contracts, conducting extensive due diligence, reviewing lien searches and title reports, coordinating mortgage payoffs and calculating closing costs.

Miscellaneous: While representing clients who are buying, selling, and leasing, Ms. Martin is equipped to handle a range of miscellaneous matters that come up often such as preparing entity and trust formation documents, facilitating deed transfers, coordinating 1031 exchanges and drafting demand letters.

Prior to joining Allegretti & Associates LLC, Ms. Martin was an associate attorney at a real estate and business law firm in Manhattan where she focused on residential and commercial real estate transactions.

Ms. Martin is originally from Atlanta and lives in the East Village. In her free time she enjoys live comedy, yoga and spending time with friends.
